TERMS OF USE 이용약관

본 이용약관의 내용상 영문과 국문이 충돌할 경우 영문을 우선으로 한다.

Project PetMINITown is a digital artwork collection project that runs on the Klaytn network. The users (“you,” “your”) who purchase or own Project PetMINITown’s Hundmax may use the Hundmax in accordance with this Terms of Use, and the users shall be deemed to have agreed to the use of the PetMINITown pursuant to this Terms.
‘프로젝트 펫미니타운(Project PetMINITown)’은 클레이튼 네트워크(Klaytn network)에서 운영되는 디지털 아트워크 콜렉션 프로젝트이다. 프로젝트 펫미니타운의 훈트막스를 구매하거나 보유하는 이용자들 (이하 “이용자”)은 본 이용약관에 따라 훈트막스를 사용할 수 있으며 이용자들은 본 약관에 의거하여 펫미니타운(PetMINITown)을 사용하는 데에 동의한 것으로 간주한다. 

 

DEFINITION 정의

1. “Hundmax” is a digital artwork collection in the form of NFTs (Non Fungible Tokens) that run on the Klaytn network.
   “훈트막스”는 클레이튼 네트워크에서 운영되는 NFTs(대체불가능한 토큰/Non Fungible Tokens) 형태의 개별적 디지털 아트워크 콜렉션이다. 
2. “NFT” means a token that cannot be replaced, which exists in the blockchain network.
   “NFT”란 블록체인 네트워크 내에 존재하는 대체 불가능한 토큰을 의미한다. 
3. “Art” means any art, graphics, images, designs, etc. related to an NFT that you possess in accordance with this Terms of Use.
   “아트”란 본 사용 약관에 따라 이용자가 보유한 NFT와 관련된 모든 종류의 아트, 그래픽스, 이미지, 디자인 등을 의미한다. 
4. “Derivative Works” mean any creative works produced by means of translation, arrangement, alteration, dramatization, cinematization, etc. of an original work. However, mere copies of an Art or any alterations that do not actually change the Art do not constitute Derivative Works.
   “파생 작품”이란 번역, 조정, 변경, 드라마타이즈, 시네마타이즈 등의 방법을 통해 오리지널 작품에서 생성되는 모든 창작품을 의미한다. 그러나 단순한 아트의 복제품이나 실제로 아트를 바꾸지 않는 변경은 “파생 작품”에 해당하지 않는다.

OWNERSHIP 소유권

1. Ownership of the NFT. Hundmax is an NFT on the Klaytn blockchain. When you purchase an NFT you own the NFT completely. Ownership of the NFT is mediated entirely by the Smart Contract on the Klaytn Network: at no point may We (Noisycontents Inc. and the Project PetMINITown Team) seize, restrict, or otherwise modify the ownership of any Hundmax that you own.
   NFT의 소유권. 훈트막스는 클레이튼 블록체인 상의 NFT이다. 이용자가 NFT를 구매하면 이용자는 NFT를 온전히 소유하게 된다. NFT의 소유권은 클레이튼 네트워크의 스마트 계약(Smart Contract)에 따라 조정된다. 당사(노이지콘텐츠(주) 및 프로젝트 펫미니타운 팀)는 어떠한 경우에도 이용자가 보유한 모든 훈트막스의 소유권을 압수, 제한 또는 수정하지 않는다. 

License 라이센스

1. Personal Use. Soley for the following purposes and subject to your continued compliance with this Terms of Use, We grant you a worldwide, royalty-free, non-exclusive license to use the Art related to the Hundmax that you own, along with any Derivative Works you create: 
   개인적 사용. 당사는 이용자가 본 이용약관을 지속적으로 준수하고 다음과 같은 목적으로만 사용할 경우, 이용자가 보유한 훈트막스 관련 아트와 이용자가 창작하는 파생 작품의 사용에 대해 이용자에게 전 세계적으로 로열티가 없으며 배타적이지 않은 라이센스를 허용한다. 

• for your own personal, non-commercial use;
  이용자의 개인적, 비 상업적 사용인 경우 
• as part of a marketplace that permits the purchase and sale of your Hundmax, provided that the marketplace cryptographically verifies each owner’s rights to display the Art related to the Hundmax to ensure that only the actual owner can display the Art; or
  이용자의 훈트막스의 판매와 구매를 허용하는 마켓플레이스의 일부로, 해당 마켓플레이스가 실제 소유자만이 아트를 디스플레이할 수 있도록 훈트막스 관련 아트를 디스플레이하는 각 소유자의 권리를 암호적으로 검증하는 경우 
• as part of a third party website or application that permits the inclusion, involvement, or participation of your Hundmax, provided that the website/application cryptographically verifies each owner’s rights to display the Art related to Hundmax to ensure that only the actual owner can display the Art, and provided that the Art is no longer visible once the owner of the Hundmax leaves the website/application.
  이용자의 훈트막스의 포함, 관여, 또는 참여를 허용하는 제 3자 웹사이트 또는 애플리케이션의 일부로, 해당 웹사이트/ 애플리케이션이 실제 소유자만이 아트를 디스플레이할 수 있도록 훈트막스 관련 아트를 디스플레이하는 각 소유자의 권리를 암호적으로 검증하며, 훈트막스의 소유자가 해당 웹사이트/ 애플리케이션을 일단 벗어나면 아트가 더 이상 보이지 않는 경우 

2. Commercial Use of Derivative Works. Subject to your continued compliance with these Terms, We grant you a worldwide, royalty-free, non-exclusive license to create and use Derivative Works of the Art related to the Hundmax you own (“Commercial Use”). Examples of such Commercial Use include the use of Derivative Arts for your own project, to produce and sell merchandise products (T-Shirts etc.) using Derivative Arts or displaying copies of Derivative Arts. For the sake of clarity, nothing in this Section restricts you from 
   파생 작품의 상업적 사용. 당사는 이용자가 본 이용약관을 지속적으로 준수하는 경우, 이용자가 보유한 훈트막스 관련 아트의 파생 작품의 창작과 사용에 대해 이용자에게 전 세계적으로 로열티가 없으며 배타적이지 않은 라이센스를 승인한다(“상업적 사용”).  이러한 상업적 이용의 예로는 파생 아트의 사본을 전시하거나 파생 아트를 사용하여 머천다이즈 상품들(티셔츠 등)을 생산하거나 판매하는 것이 포함된다. 명확성을 기하기 위해, 본 조항의 어떠한 내용도 이용자의 다음과 같은 행동을 규제하지 않음을 확인한다. 

• owning or operating a marketplace that permits the use and sale of Hundmax generally, provided that the marketplace cryptographically verifies each owner’s rights to display the Art related to the Hundmax to ensure that only the actual owner can display the Art;
  일반적으로 훈트막스를 사용하고 판매하는 것을 허용하는 마켓플레이스를 보유 및 운영: 실제 소유자만이 아트를 디스플레이할 수 있도록 해당 마켓플레이스가 훈트막스 관련 아트를 디스플레이할 각 소유자의 권리를 암호적으로 검증하는 경우 
• owning or operating a third party website or application that permits the inclusion, involvement, or participation of Hundmax generally, provided that the third party website or application cryptographically verifies each owner’s rights to display the Art related to the Hundmax to ensure that only the actual owner can display the Art, and provided that the Art is no longer visible once the owner of the purchased Hundmax leaves the website/application; or
  일반적으로 훈트막스의 포함, 관여, 또는 참여를 허용하는 제 3자 웹사이트 혹은 애플리케이션을 보유 또는 운영: 실제 소유자만이 아트를 디스플레이할 수 있도록 해당 제 3자 웹사이트 또는 애플리케이션이 훈트막스 관련 아트를 디스플레이할 각 소유자의 권리를 암호적으로 검증하는 경우, 구매한 훈트막스의 소유자가 해당 웹사이트/ 애플리케이션을 벗어나면 아트가 더 이상 보이지 않는 경우 
• earning revenue from any of the foregoing.
  상기 항목의 행동을 통해 수익 창출 

3. Restrictions. Notwithstanding the foregoing, you agree that you and any third party may not engage in the following acts without our expressed prior written consent. If We confirm that you have engaged in any of the following acts, you may lose your right to use your Hundmax which has been granted to you pursuant to this Terms.
   제한. 상기 내용에도 불구하고, 이용자는 이용자와 어떠한 제 3자도 당사의 사전 서면 동의 표시없이 다음의 행동을 취하지 않을 것에 동의한다. 만약 이용자가 다음 항목의 행동에 관여했음을 당사가 파악하게 되는 경우, 이용자는 본 이용약관에 의거하여 승인받은 훈트막스의 사용 권리를 상실할 수 있다. 

• use Hundmax or any related Art(including Derivative Works) in connection with texts, images, videos, or other forms of media that (i) depict hatred, intolerance, violence, cruelty, or any other behavior that could reasonably be found to constitute hate speech or otherwise infringe upon the rights of others, (ii) relate to drugs (including, without limitation, both prescription and non-prescription) or other supplements, death, pornography or other “adult only” or sexually explicit activities, massage parlors, prostitution or any dating or escort activities, weapons or ammunition, (iii) denigrate or discriminate against individuals based on race, national origin, gender, religion, disability, ethnicity, sexual orientation, gender identity or age, medical conditions and/or political campaigns or causes, (iv) impersonate another person, infringe upon the property rights of another, including intellectual property rights, (v) encourage, promote or participate in illegal activities;
  (i) 혐오 발언 또는 혐오 발언이 아니더라도 타인의 권리를 침해하는 것으로 간주될 수 있는 혐오, 편협성, 폭력, 잔인성을 드러내거나 (ii) 약물 (처방 또는 비처방 약물 모두 포함) 또는 기타 보충제, 죽음, 음란물 혹은 기타 “성인 전용” 혹은 노골적인 성적 행위, 마사지 업체, 매춘, 데이팅, 성매매, 무기 혹은 탄약과 관련되었거나 (iii) 인종, 국적, 성별, 종교, 장애여부, 민족성, 성적 지향, 성적 정체성이나 나이 혹은 의학적 상태 및/또는 정치적 캠페인이나 명분에 따라 폄하 또는 차별하거나 (iv) 타인을 사칭하거나, 지적재산권을 포함한 다른 사람의 재산권을 침해하거나 (v) 불법적인 행동을 장려, 촉진 또는 이에 참여하는 텍스트, 이미지, 비디오, 또는 기타 미디어 형태와 관련된 훈트막스 또는 모든 관련 아트(파생 작품 포함)의 사용 
• any other uses which may hinder any business conducted by Noisycontents Inc. or damage the reputation or credibility of Noisycontents Inc. including creating products or services that compete with Project PetMINITown.
  프로젝트 펫미니타운과 경쟁하는 제품 또는 서비스를 창작하는 등 노이지콘텐츠(주)가 수행하는 사업을 방해하거나 노이지콘텐츠(주)의 명성과 신뢰도에 손상을 입힐 수 있는 기타 모든 사용 

4. Intellectual Property Right. Other than the rights to the Art, nothing hereinabove gives you any rights to any other trademarks or other intellectual property rights belonging to Noisycontents Inc. including, without limitation, the logos associated with Project PetMINITown, the Project PetMINITown Team, Noisycontents Inc., Hundmax and any other logos associated with the NFTs that we issue. All of these rights are expressly reserved in Noisycontents Inc.
   지적재산권. 아트와 관련된 권리를 제외하고는, 본 약관 내 상기 어떠한 내용도 이용자에게 노이지콘텐츠(주)에 속하는 여타의 모든 상표권 혹은 기타 지적재산권에 대한 권리를 부여하지 않는다. 이에는 프로젝트 펫미니타운, 프로젝트 펫미니타운 팀, 노이지콘텐츠(주), 훈트막스의 로고들과 그 밖에 당사가 발행하는 NFT와 관련된 모든 로고가 포함되며 이에 국한되지 않는다. 이러한 모든 권리들은 명백히 노이지콘텐츠(주)의 소유이다. 
5. License Period. You may only exercise the rights that you hold under this Terms of Use while you own a Hundmax. If you relinquish your ownership of Hundmax by selling, transferring, donating, or through any other disposure, you may not exercise any rights under this Terms of Use from the time you relinquish your ownership and you may not use the Derivative Works you created. 
   라이센스 기간. 이용자는 훈트막스를 소유하는 기간 동안에만 본 이용약관에 따라 본인이 가지고 있는 권리를 행사할 수 있다. 만약 판매, 이전, 기부 또는 기타 처분 방법을 통해 훈트막스의 소유권을 포기하는 경우, 이용자는 소유권을 포기하는 시점부터 본 이용약관에 따른 모든 권리를 행사할 수 없으며 이용자가 창작한 파생 작품을 사용할 수 없다. 

Risk Assumption 리스크 산정 

You acknowledge and agree with the following provisions:
이용자는 다음의 조항을 인지하고 이에 동의한다. 

1. With regard to the sale of your Hundmax, please note that the prices of NFTs are extremely volatile, and the fluctuations in the prices of other NFTs impact the price of your Hundmax both positively and negatively. You assume all risks about purchasing and trading Hundmax. Given the volatility, NFTs such as Hundmax should not be considered as a financial investment instrument and do not constitute securities or derivatives pursuant to the Financial Investment Service and Capital Markets Act.
   이용자의 훈트막스 판매와 관련하여, NFT의 가격은 매우 변동폭이 크며 타 NFT의 가격 변동이 이용자의 훈트막스에 긍정적, 부정적 영향을 모두 끼칠 수 있다. 이용자는 훈트막스를 구매하고 거래하는 것에 대해 모든 리스크를 가정하고 인지한다. 이러한 변동성을 고려하여, 훈트막스와 같은 NFT들은 금융투자 상품으로 고려되어서는 안되며, 금융투자서비스 및 자본시장법(the Financial Investment Service and Capital Markets Act)에 따라 증권이나 파생상품에 해당하지 않는다. 
2. Ownership of a Hundmax confers ownership of NFT related to the digital Art only. Accordingly, no information on this website (or any other documents mentioned therein) is or may be considered to be advice or an invitation to enter into an agreement for any investment purpose. Further, nothing on this website qualifies or is intended to be an offering of securities in any jurisdiction nor does it constitute an offer or an invitation to purchase shares, securities or other financial products.  Due to the artistic nature of the project, Project PetMINITown has not been registered or approved by any regulator in any jurisdiction. It remains your sole responsibility to confirm that the purchase of the Hundmax and the associated Art is in compliance with laws and regulations in your jurisdiction.
   훈트막스의 소유권은 디지털 아트와 관련된 NFT의 소유권만을 의미한다. 따라서 본 웹사이트 (또는 본 약관 안에서 언급한 기타 모든 문서) 상의 모든 정보는 어떠한 투자 목적의 합의에 이르기 위한 조언 또는 권유로 간주되지 않으며 간주될 수 가능성도 없다. 또한, 본 웹사이트의 어떠한 내용도 어떤 행정구역에서 증권을 제공하는 것으로 해석되거나 의도될 수 없으며, 주식, 증권 또는 기타 금융 상품을 구입하라는 제안이나 권유로 해석될 수 없다. 프로젝트의 예술적인 성격에 따라, 프로젝트 펫미니타운은 어떠한 규제 당국이나 행정구역 내에서 등록 또는 승인된 바 없다. 훈트막스 및 관련된 아트의 구입이 이용자의 행정구역 내에서 적절한 법규를 준수하여 이루어지도록 하는 것은 오로지 이용자의 독점적인 책임이다. 
3. You assume all risks associated with using an internet-based currency (including digital asset), including, but not limited to, the risks related to hardware, software and Internet connections, the risk of introducing malicious software, and the risk that third parties may obtain unauthorized access to information stored in your wallet.
   이용자는 인터넷기반 통화 사용과 관련된 모든 리스크를 인지하고 있으며, 이러한 리스크에는 하드웨어, 소프트웨어, 인터넷 연결과 관련된 리스크, 맬웨어 리스크, 제 3자가 이용자의 지갑에 저장된 정보에 무단 접속할 수 있는 리스크가 모두 포함되며 이에 국한되지 않는다.  
4. NFTs, digital assets and blockchain technology are relatively new and the regulatory landscape is unsettled. New regulations could negatively impact such technologies impacting the value of your Hundmax. You understand and accept all risk in this regard.
   NFT, 디지털 자산과 블록체인 기술은 비교적 새로운 기술이며 규제감독이 정립되어 있지 않다. 새로운 규제가 생길 경우 이러한 신기술에 영향을 미쳐 이용자의 훈트막스 가치에도 영향을 미칠 수 있다. 이용자는 이러한 측면에서 모든 리스크를 이해하고 이에 동의한다. 
5. You assume all responsibility for any adverse effects of disruptions or other issues impacting the Klaytn Network or the Klaytn platform.
   이용자는 클레이튼 네트워크 또는 클레이튼 플랫폼에 영향을 미치는 방해 혹은 기타 이슈들로 인해 발생할 수 있는 모든 부작용에 대해 일체의 책임을 진다. 
6. All NFT transactions takes place on the Klayton blockchain. Accordingly, you are solely responsible for the safety and management of your Klaytn wallet (private keys for the wallet, etc.) and validating all transactions and contracts generated by this website before approval. Furthermore, as the smart contract related with PetMINITown Project runs on the Klaytn network, you cannot undo, reverse, or restore any transactions.
   모든 NFT 거래는 클레이튼 블록체인 상에서 발생한다. 이에 따라, 이용자는 클레이튼 지갑(지갑에 대한 프라이빗 키 등)의 안전과 관리, 승인 전에 이 웹사이트에서 생성되는 모든 거래와 계약의 확인에 대한 책임을 진다. 또한, 펫미니타운 프로젝트와 관련된 스마트 계약은 클레이튼 네트워크에서 운영되므로 이용자는 어떠한 거래도 없던 것으로 하거나, 역으로 돌리거나, 복구할 수 없다. 

Changes to the Terms of Use 이용약관의 변경

1. We may make changes to this Terms of Use in our discretion. We are planning to update this Terms of Use periodically on the website, accordingly, please check these Terms of Use periodically for changes. We cannot provide you with any separate notices of these updates because there are no subscription procedures, and we do not collect your personal information.
   당사는 재량에 따라 본 이용약관을 변경할 수 있다. 당사는 웹사이트 상에서 본 약관을 정기적으로 업데이트할 계획이며, 이에 따라 이용자가 정기적으로 본 이용약관의 변경사항들을 확인할 것을 권장한다. 
2. The changes to this Terms of Use shall be announced eight (8) days before the date on which the amended Terms of Use becomes effective, and shall include both the previous and amended versions of the Terms of Use, the effective date, and the reasons for the amendments. Provided, however, any changes to your significant rights or obligations shall be announced thirty (30) days before the effective date in the manner prescribed above.
   본 이용약관의 변경사항은 변경된 이용약관이 효력을 발휘하기 (8)일 전에 발표되어야 하며, 공지에는 변경 전과 변경 후 버전의 이용약관, 효력 발생일, 변경 사유가 포함되어야 한다. 그러나 이용자의 주요한 권리 또는 의무에 변경사항이 있는 경우 상기한 방식에 따라 효력을 발휘하기 (30)일 전에 발표되어야 한다. 
3. Your continued access to or use of our website after the Terms of Use have been updated will constitute your binding acceptance of the updates. If you do not agree to the amended Terms of Use, you may not access or use the website.
   이용약관이 업데이트 된 이후 이용자가 당사의 웹사이트를 사용하는 것은 업데이트된 내용을 승인하는 것이며 이는 구속력이 있는 것으로 간주된다. 수정된 이용약관에 동의하지 않는 경우, 해당 웹사이트에 접속하거나 이를 이용하지 않을 수 있다. 

Jurisdiction and Governing Law 관할 구역 및 준거법

This Terms of Use (including without limitation, your access to and use of our website, the NFTs, or any goods purchased or distributed through the website, etc.) shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising out of or in connection to this Terms of Use shall be subject to the exclusive jurisdiction of the Seoul Central District Court as the court of first instance. 
본 이용약관(당사 웹사이트, NFT 또는 이 웹사이트를 통해 구매하거나 배포된 NFT 또는 일체의 상품에 대한 이용자의 접근 권한 및 사용을 포함하여 이에 국한되지 않음)은 대한민국법령에 따라 준수되고 해석된다. 본 약관과 관련하여 또는 그 외의 사항에서 발생하는 모든 분쟁은 서울지방법원을 1심 관할법원으로 독점적으로 적용한다. 

 

Project PetMINITown NFT 프로젝트 펫미니타운 NFT

Cowmario, Catbubbly etc. are all part of Project PetMINITown, and this Terms of Use apply to them under the same terms as Hundmax. 
카우마리오, 캣버블리 등은 모두 프로젝트 펫미니타운의 일부이며, 본 이용약관은 훈트막스와 마찬가지로 상기 항목에도 모두 동일하게 적용된다.
